1. Introduction and Acceptance of Terms
Welcome to Echovium Intelligence and Technology Pvt Ltd (“Echovium”, “Company”, “we”, “us”, or “our”). These Terms and Conditions (“Terms”, “Agreement”) constitute a legally binding contract between you (“User”, “Customer”, “Client”, “you”, or “your”) and Echovium governing your access to and use of:
- Our website www.echovium.com and associated domain quantumshell.live (collectively, the “Website” or “Platform”)
- Our artificial intelligence and software-as-a-service (SaaS) solutions, including Quantum Power Shell (QPS)
- All AI-powered modules and tools including neural networks, machine learning systems, quantum computing applications, AI chatbots, AI assistance, text-to-image generation, text-to-video, image-to-image, image-to-video, music generation, generative texts, music mixing and vocal processing AI, academic writing assistance, and custom enterprise deployments (collectively, the “Services”)
- All software, APIs, documentation, data, content, and materials provided in connection with the Services
By accessing, browsing, registering for an account, subscribing to our Services, or otherwise using our Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations, including but not limited to the Information Technology Act, 2000 (“IT Act”), the Digital Personal Data Protection Act, 2023 (“DPDP Act”), and the Indian Contract Act, 1872[1][2][3].
IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY DISCONTINUE USE OF OUR SERVICES AND PLATFORM.
These Terms apply to all visitors, users, subscribers, customers, and others who access or use the Services. Additional terms or conditions may apply to specific features, promotions, or enterprise agreements, which shall be deemed incorporated into these Terms by reference.
2. Eligibility and Account Requirements
You must be at least 18 years of age, (consideration of age 14-18 under strict guidance of parents or guardian) and possess the legal capacity to enter into binding contracts under the Indian Contract Act, 1872 to use our Services[3]. By using the Platform, you represent and warrant that:
- You are of legal age and have the authority to enter into this Agreement
- You are not prohibited or restricted from accessing or using the Services under any applicable law
- All information provided during registration is accurate, current, and complete
- You will maintain the accuracy of such information throughout your use of the Services
To access certain features of our Services, you must create an account by providing:
- Full name and contact information (email, phone number)
- Company name and business details (for enterprise accounts)
- Payment information for subscription or usage-based billing
- Any additional information required for identity verification and compliance
You agree to:
- Provide truthful, accurate, and complete information during registration
- Maintain and promptly update your account information
- Keep your login credentials confidential and secure
- Notify us immediately at support@echovium.com of any unauthorized access or security breach
- Accept responsibility for all activities conducted under your account
We reserve the right to refuse registration, suspend, or terminate accounts that violate these Terms or are used for fraudulent, illegal, or unauthorized purposes.
2.3 Corporate and Enterprise Accounts
For organizational or enterprise accounts, you represent that:
- You have the authority to bind your organization to these Terms
- Your organization is duly incorporated and legally exists
- You are authorized to access and use the Services on behalf of your organization
- Your organization will comply with all applicable laws and regulations
3. Scope of Services and License Grant
Echovium provides cutting-edge AI-powered SaaS solutions, including:
- Quantum Power Shell (QPS): Our flagship AI-powered modular platform integrating quantum computing capabilities with neural network systems for advanced computational tasks
- AI Chatbots and Conversational AI: Intelligent virtual assistants powered by large language models for customer support, content generation, and knowledge management
- Generative AI Modules: Text-to-image generation, text-to-image generation, text-to-video, image-to-image, image-to-video, image editing, creative content creation, and multimedia synthesis
- Audio and Music AI: AI-driven music mixing, vocal processing, voice cloning, audio enhancement, and sound design tools
- Machine Learning Solutions: Custom model training, fine-tuning, deployment, and inference services for enterprise applications
- Academic and Research AI: Automated writing assistance, citation management, research summarization, and academic content generation
- Enterprise AI Deployments: Custom AI solutions, API integrations, hybrid cloud deployments (AWS, Digital Ocean, Runpod, Oracle, Azure), and consulting services
- Data Analytics and Business Intelligence: AI-powered data processing, predictive analytics, and decision support systems
Services may be offered through web interfaces, APIs, mobile applications, desktop software, or custom enterprise installations. Features, functionality, and availability may vary based on your subscription plan, geographic location, and service tier.
Subject to your compliance with these Terms and payment of applicable fees, Echovium grants you a limited, non-exclusive, non-transferable, revocable license to:
- Access and use the Services for your internal business or personal purposes
- Use the software, APIs, and documentation provided in connection with the Services
- Generate, download, and use outputs produced by our AI tools (“AI Outputs”) in accordance with Section 7
This license does not grant you any ownership rights in the Services, underlying software, algorithms, models, or intellectual property. All rights not expressly granted herein are reserved by Echovium.
You shall NOT, and shall not permit others to:
- Copy, modify, adapt, translate, or create derivative works of the Services or underlying software
- Reverse engineer, decompile, disassemble, or attempt to discover source code or algorithms
- Rent, lease, sublicense, distribute, sell, or transfer access to the Services
- Remove, obscure, or alter any proprietary notices, labels, or marks
- Use the Services to develop competing products or services
- Circumvent usage limits, access controls, or security measures
- Access the Services through automated means (bots, scrapers) except through authorized APIs
- Use the Services for any unlawful, fraudulent, or malicious purpose
- If any fraudulent activity of individual or organisation will be penalized under Indian law and Indian penal court.
3.4 Service Modifications and Availability
We reserve the right to:
- Modify, enhance, update, or discontinue any aspect of the Services at any time with or without notice
- Impose usage limits, quotas, or rate limits on API calls, data processing, or resource consumption
- Conduct scheduled maintenance with advance notice (typically 48-72 hours for major maintenance)
- Perform emergency maintenance without notice when necessary for security or operational integrity
We do not guarantee uninterrupted or error-free access to the Services. Factors beyond our control (internet connectivity, third-party infrastructure, force majeure events) may affect availability.
4. Subscription Plans, Pricing, and Payment Terms
Echovium offers various subscription tiers and pricing models:

You agree to pay all fees associated with your selected subscription plan or usage[4]. Payment terms include:
- Billing Currency: Indian Rupees (INR) or US Dollars (USD) as specified in your account
- Payment Methods: Credit/debit cards, net banking, UPI, digital wallets, bank transfers, or other methods supported by our payment processors (Razorpay, Stripe, PayPal)
- Recurring Billing: Subscription fees are billed in advance on a monthly or annual basis on the date you initiate your subscription (the “Billing Date”)
- Usage-Based Billing: Pay-as-you-go charges are calculated based on actual consumption and billed monthly or as specified in your plan
- Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date
By providing payment information, you:
- Authorize us and our payment processors to charge the applicable fees to your payment method
- Represent that you have the legal right to use the payment method provided
- Agree to maintain valid, up-to-date payment information in your account
- Accept responsibility for all charges incurred under your account
We reserve the right to modify subscription fees or introduce new charges with at least 30 days’ prior written notice via email or Platform notification. Price changes will take effect on your next billing cycle after the notice period. If you do not agree to the price change, you may cancel your subscription before it renews at the new rate.
For enterprise or custom agreements, pricing terms are governed by the Master Services Agreement (MSA) or Statement of Work (SOW) executed between the parties.
All fees are exclusive of applicable taxes, duties, levies, or governmental charges (including but not limited to Goods and Services Tax (GST), value-added tax, withholding tax). You are responsible for all such taxes except those based on Echovium’s net income. We will invoice you for applicable taxes when required by law, and you agree to pay such taxes in addition to the subscription fees.
4.5 Late Payment and Suspension
If payment is not received by the due date:
- We may suspend access to the Services until payment is made
- Late fees of 1.5% per month (or the maximum allowed by law, whichever is lower) may be charged on overdue amounts
- Continued non-payment for 15 days may result in account termination and data deletion
- Free Trials: No charges apply during the trial period. Cancel anytime before the trial ends to avoid charges.
- Monthly Subscriptions: You may cancel at any time. Cancellation takes effect at the end of the current billing period. No refunds for partial months.
- Annual Subscriptions: You may cancel at any time. No refunds for unused portions of annual plans except as required by law or in cases of service failure attributable to Echovium.
- Enterprise Plans: Refund and cancellation terms are governed by the executed MSA or SOW.
To cancel your subscription, log into your account and follow the cancellation process or contact support@echovium.com.
5. User Responsibilities and Acceptable Use Policy
You agree to use the Services in compliance with all applicable local, state, national, and international laws, regulations, and treaties, including but not limited to:
- Information Technology Act, 2000 and IT Rules 2021[1][2]
- Digital Personal Data Protection Act, 2023[2]
- Indian Penal Code, 1860
- Copyright Act, 1957
- Trade Marks Act, 1999
- Export control and sanctions laws
- Anti-money laundering and counter-terrorism financing regulations
You shall NOT use the Services to:
- Violate any law, regulation, court order, or contractual obligation
- Infringe intellectual property, privacy, publicity, or other proprietary rights
- Transmit or store illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable content
- Impersonate any person or entity, or falsely represent affiliation with any person or entity
- Engage in fraudulent activities, phishing, spamming, or distribution of malware
- Interfere with or disrupt the integrity, security, or performance of the Services or related systems
- Gain unauthorized access to accounts, systems, networks, or data
- Scrape, mine, or harvest data from the Services except through authorized APIs
- Use the Services to create, train, or improve competing AI models or services without explicit written permission
- Generate or distribute deepfakes, non-consensual intimate imagery, or content intended to deceive or defraud
- Create content that promotes violence, terrorism, hate speech, discrimination, or self-harm
- Use the Services for high-risk activities where failure could lead to death, personal injury, or environmental damage (e.g., medical diagnosis, nuclear facility control, aircraft navigation) without appropriate safeguards and human oversight
5.3 Content Moderation and Monitoring
We reserve the right, but are not obligated, to:
- Monitor, review, and moderate User Content and AI Outputs for compliance with these Terms
- Remove or refuse to process content that violates these Terms or applicable law
- Suspend or terminate accounts engaged in prohibited activities
- Report illegal activities to law enforcement or regulatory authorities as required by law[2]
We employ automated systems and human review to detect and prevent misuse. You acknowledge that content moderation is imperfect and we do not guarantee the detection or removal of all violating content.
You are responsible for:
- Implementing appropriate security measures to protect your account credentials, API keys, and access tokens
- Maintaining the confidentiality of sensitive data uploaded to or processed by the Services
- Configuring access controls and permissions for multi-user accounts
- Promptly notifying us of suspected security incidents or unauthorized access at helpdesk@echovium.com
- Cooperating with security investigations and implementing recommended remediation measures
6. User Content and Data Processing
“User Content” means any data, text, files, images, audio, video, code, prompts, instructions, or other materials you upload, submit, or provide to the Services. You retain all ownership rights in your User Content, subject to the licenses granted in these Terms.
By submitting User Content to the Services, you grant Echovium a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to:
- Use, process, store, reproduce, modify, and display User Content solely to provide, maintain, and improve the Services
- Generate AI Outputs based on your User Content
- Perform technical operations such as format conversion, compression, and backup
- Comply with legal obligations and enforce these Terms
This license terminates when you delete your User Content or close your account, except for:
- Content shared with other users or incorporated into collaborative projects
- Aggregated, anonymized, or de-identified data used for analytics and service improvement
- Content retained for legal compliance or dispute resolution purposes
6.3 Representations and Warranties
You represent and warrant that:
- You own or have obtained all necessary rights, licenses, and permissions to submit User Content
- User Content does not infringe or violate any third-party intellectual property, privacy, publicity, or other proprietary rights
- User Content complies with these Terms and all applicable laws
- You have obtained all necessary consents and approvals for processing personal data included in User Content
6.4 Data Processing and Privacy
Our collection, use, storage, and sharing of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to such processing in accordance with the Privacy Policy and DPDP Act[2].
For enterprise customers processing personal data on behalf of end users or data subjects, a separate Data Processing Agreement (DPA) may be required to establish the respective roles and responsibilities as Data Fiduciary and Data Processor under the DPDP Act.
6.5 Data Security and Confidentiality
We implement industry-standard technical and organizational measures to protect User Content, including:
- Encryption of data in transit (TLS 1.3) and at rest (AES-256)
- Role-based access controls and multi-factor authentication
- Regular security audits, vulnerability assessments, and penetration testing
- Incident response procedures and breach notification protocols
- Secure data centers with physical and logical access controls
However, no system is completely secure. You acknowledge that data transmission over the internet carries inherent risks, and we cannot guarantee absolute security.
6.6 Data Retention and Deletion
We retain User Content for the duration of your active subscription plus:
- 30 days grace period after account closure for recovery purposes
- Legal retention periods required by applicable laws (typically 3-7 years for financial and compliance records)
- Duration necessary for dispute resolution, litigation, or regulatory proceedings
You may request deletion of your User Content at any time by contacting grievance@echovium.com. We will delete or anonymize such data within 60 days, except where retention is required by law or legitimate business purposes.
7. Intellectual Property Rights
7.1 Echovium’s Intellectual Property
All intellectual property rights in the Services, Platform, software, algorithms, models, documentation, APIs, user interfaces, designs, trademarks, logos, and related materials (collectively, “Echovium IP”) are and shall remain the exclusive property of Echovium and its licensors[5][6].
Echovium IP includes but is not limited to:
- Source code, object code, and software architecture of all Services including Quantum Power Shell (QPS)
- Proprietary AI models, neural network architectures, training datasets, and machine learning algorithms
- APIs, SDKs, libraries, frameworks, and developer tools
- User interface designs, workflows, and user experience elements
- Database schemas, data structures, and indexing methodologies
- Trademarks, service marks, trade names, logos, and brand identifiers including “Echovium”, “Quantum Power Shell”, “QPS”, and associated logos
- Documentation, technical specifications, tutorials, and training materials
- Patents, patent applications, trade secrets, and know-how
Nothing in these Terms transfers ownership of Echovium IP to you. Your use of the Services does not grant you any rights in Echovium IP except the limited license specified in Section 3.2.
“AI Outputs” means content generated by our AI systems based on your User Content, prompts, or instructions, including but not limited to:
- Text, articles, code, and written content generated by AI chatbots or writing assistants
- Images, graphics, and visual art created by text-to-image, text-to-image generation, text-to-video, image-to-image, image-to-video or generative AI models
- Audio files, music, and vocal recordings produced by music mixing or voice cloning AI
- Data analysis results, predictions, and insights from machine learning models
Ownership of AI Outputs: Subject to payment of applicable fees and compliance with these Terms, you own AI Outputs generated by the Services based on your User Content. However:
- Echovium retains all rights in the underlying AI models, algorithms, and systems used to generate AI Outputs
- Identical or substantially similar outputs may be generated for other users based on similar inputs
- AI Outputs may incorporate elements from Echovium’s training data, publicly available information, or common knowledge
- You must verify accuracy, legality, and suitability of AI Outputs before use
- We do not guarantee originality or uniqueness of AI Outputs
7.3 Restrictions on AI Outputs
You shall NOT:
- Use AI Outputs in a manner that violates these Terms, applicable laws, or third-party rights
- Claim that AI Outputs are solely human-created when they are substantially AI-generated (where disclosure is required by law or ethical standards)
- Use AI Outputs to train, develop, or improve competing AI models or services without explicit written permission
- Represent that AI Outputs carry warranties, guarantees, or endorsements from Echovium beyond those expressly stated in these Terms
If you provide feedback, suggestions, ideas, or recommendations regarding the Services (“Feedback”), you grant Echovium a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use, implement, modify, and commercialize such Feedback without compensation or attribution. Feedback is deemed non-confidential and non-proprietary.
7.5 Third-Party Software and Services
The Services may incorporate or depend on third-party software, libraries, APIs, or services (e.g., cloud infrastructure from AWS, Digital Ocean, Runpod, Oracle, Azure; AI frameworks from HuggingFace, OpenAI). Such third-party components are governed by their respective licenses and terms. We do not claim ownership of third-party intellectual property and disclaim responsibility for third-party services.
7.6 Copyright Infringement and DMCA Compliance
We respect intellectual property rights and expect users to do the same. If you believe that content on our Platform infringes your copyright, please submit a notice to grievance@echovium.com with:
- Identification of the copyrighted work claimed to be infringed
- Location of the allegedly infringing content (URL or description)
- Your contact information (name, address, email, phone)
- A statement that you have a good faith belief that the use is unauthorized
- A statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner
- Your physical or electronic signature
We will investigate and take appropriate action, which may include removing the content and terminating repeat infringers’ accounts.
8. Service Level Agreement (SLA) and Support
For paid subscription plans (excluding Free Trial), Echovium commits to the following service availability targets:

“Uptime” is measured as the percentage of time the Services are accessible and operational in a calendar month, excluding:
- Scheduled maintenance performed with advance notice
- Downtime caused by factors beyond our control (force majeure, internet outages, third-party infrastructure failures)
- Issues caused by your actions, misconfigurations, or violations of these Terms
- Services explicitly designated as “beta”, “experimental”, or “preview”
If we fail to meet the Uptime Target for your subscription tier, you may be eligible for service credits:
- 99.0% – 98.0% uptime: 10% credit on monthly subscription fee
- 98.0% – 95.0% uptime: 25% credit on monthly subscription fee
- Below 95.0% uptime: 50% credit on monthly subscription fee
To claim service credits:
- Submit a claim to helpdesk@echovium.com within 30 days of the incident
- Provide details including dates, times, and evidence of downtime
- Credits will be applied to future invoices and cannot be redeemed for cash
Service credits are your sole and exclusive remedy for service availability issues.
We provide technical support through the following channels:
- Email Support: support@echovium.com and helpdesk@echovium.com
- Knowledge Base: Documentation, tutorials, FAQs, and troubleshooting guides available on our Platform
- Community Forum: User community for peer support and discussions (where available)
- Enterprise Support: Dedicated account managers, priority response times, and phone support for Enterprise customers
Support response times vary by subscription tier:

Response times are targets, not guarantees. Support is provided in English and Hindi during Indian business hours (9 AM – 6 PM IST, Monday-Friday) unless otherwise specified in enterprise agreements.
9.1 “AS IS” and “AS AVAILABLE” Basis
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, QUIET ENJOYMENT, OR DATA ACCURACY
- WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES, BUGS, OR OTHER HARMFUL COMPONENTS
- WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF AI OUTPUTS, RESULTS, OR CONTENT
- WARRANTIES THAT DEFECTS WILL BE CORRECTED OR THAT SERVICES WILL MEET YOUR REQUIREMENTS
You acknowledge and agree that:
- AI Outputs are generated by probabilistic machine learning models and may contain errors, inaccuracies, biases, or hallucinations
- AI systems may produce unexpected, inappropriate, or offensive outputs despite our safety measures
- We do not warrant the originality, uniqueness, or copyright compliance of AI Outputs
- AI Outputs should be reviewed, verified, and edited by qualified human experts before use in critical applications
- We are not responsible for decisions made or actions taken based on AI Outputs
- AI performance depends on factors including input quality, prompt engineering, model limitations, and domain-specific knowledge
We disclaim all warranties and liability for third-party services, websites, APIs, or content accessed through or integrated with our Services. Your use of third-party services is governed by their respective terms and policies.
9.4 Beta and Experimental Features
Services or features designated as “beta”, “preview”, “experimental”, “alpha”, or similar are provided for testing and evaluation purposes. Such features:
- May be incomplete, unstable, or subject to significant changes
- Are excluded from SLA commitments and warranty provisions
- May be discontinued at any time without notice
- Should not be used for production or business-critical applications
Some jurisdictions do not allow exclusion of implied warranties or limitation of statutory consumer rights. To the extent applicable law prohibits the exclusions in this Section, such warranties are limited to the minimum period and extent permitted by law.
10.1 Exclusion of Consequential Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ECHOVIUM, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM OR RELATED TO:
- USE OF OR INABILITY TO USE THE SERVICES
- LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR ANTICIPATED SAVINGS
- BUSINESS INTERRUPTION OR DOWNTIME
- COST OF SUBSTITUTE SERVICES OR TECHNOLOGY
- ERRORS, INACCURACIES, OR OMISSIONS IN AI OUTPUTS OR CONTENT
- UNAUTHORIZED ACCESS TO OR ALTERATION OF USER CONTENT
- DELETION, CORRUPTION, OR FAILURE TO STORE USER CONTENT
- RELIANCE ON AI-GENERATED CONTENT OR DECISIONS MADE BASED THEREON
- THIRD-PARTY CLAIMS OR ACTIONS ARISING FROM YOUR USE OF THE SERVICES
EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ECHOVIUM’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF:
- THE TOTAL FEES PAID BY YOU TO ECHOVIUM IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR
- INR 50,000 (FIFTY THOUSAND INDIAN RUPEES) OR USD 600 (SIX HUNDRED US DOLLARS)
This limitation applies regardless of the number of claims or causes of action and shall be allocated among all claims proportionately.
You acknowledge that the limitations of liability in this Section are reasonable and essential elements of the agreement between you and Echovium, and that Echovium would not provide the Services without such limitations. These limitations shall apply notwithstanding any failure of essential purpose of any limited remedy.
10.4 Jurisdictional Variations
Some jurisdictions do not allow exclusion or limitation of liability for consequential or incidental damages, or limitation of liability for death or personal injury caused by negligence. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
11.1 Your Indemnification Obligations
You agree to indemnify, defend, and hold harmless Echovium, its parent, subsidiaries, affiliates, officers, directors, employees, agents, licensors, suppliers, and partners (collectively, “Echovium Parties”) from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees and legal costs) arising from or related to:
- Your use or misuse of the Services in violation of these Terms
- Your User Content, including any infringement of intellectual property rights, privacy violations, or defamatory content
- AI Outputs generated using your User Content and your use or distribution thereof
- Your violation of any applicable law, regulation, or third-party rights
- Your breach of representations, warranties, or covenants in these Terms
- Unauthorized access to your account due to your failure to maintain security of credentials
- Negligence, willful misconduct, or fraudulent actions by you or your authorized users
11.2 Indemnification Procedures
Echovium will:
- Promptly notify you in writing of any claim subject to indemnification
- Provide reasonable cooperation in the defense of such claim (at your expense)
- Grant you sole control over the defense and settlement, provided that you may not settle any claim that:
- Admits liability on behalf of Echovium
- Imposes ongoing obligations on Echovium
- Requires payment by Echovium (unless you cover such payment)
Echovium reserves the right to assume exclusive defense and control of any matter subject to indemnification at its own expense, in which case you agree to cooperate with our defense.
Your indemnification obligations survive termination of these Terms and continue for any claims arising from actions taken during the term of the agreement.
12. Term, Termination, and Suspension
These Terms commence on the date you first access or use the Services and continue until terminated by either party in accordance with this Section.
You may terminate your account and these Terms at any time by:
- Canceling your subscription through your account settings, or
- Sending a termination notice to support@echovium.com
Termination takes effect at the end of your current billing period for monthly/annual subscriptions. You remain responsible for fees incurred prior to termination. No refunds will be issued except as expressly provided in Section 4.6.
We may terminate or suspend your access to the Services immediately, without prior notice or liability, if:
- You breach any provision of these Terms
- You engage in fraudulent, illegal, or abusive conduct
- Your account remains inactive for 12 consecutive months
- You fail to pay fees when due (after 15-day grace period)
- Continued provision of Services would violate applicable law or create legal or regulatory liability
- We discontinue the Services entirely (with 60 days’ prior notice and pro-rata refund)
Upon termination:
- Your license to access and use the Services immediately ceases
- You must cease all use of Echovium IP, software, and APIs
- We may delete your User Content and AI Outputs after a 30-day grace period
- Accrued payment obligations become immediately due and payable
- Sections 7 (Intellectual Property), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), 13 (Confidentiality), and 16 (Governing Law and Dispute Resolution) survive termination
You may request export of your User Content within 30 days of termination by contacting support@echovium.com. We will provide data in standard formats (JSON, CSV) subject to reasonable export fees for large datasets.
We reserve the right to suspend access to your account or specific Services without terminating your account if:
- We reasonably suspect a security breach, unauthorized access, or fraudulent activity
- Your usage exceeds reasonable limits or threatens system stability
- We are investigating potential Terms violations
- Required by law, court order, or regulatory directive
We will provide notice of suspension and the reason therefor, except where doing so would compromise security or violate legal obligations. We will lift suspension once the issue is resolved.
“Confidential Information” means non-public information disclosed by one party (“Disclosing Party”) to the other party (“Receiving Party”), including:
- Technical information: algorithms, source code, system designs, architectures, APIs, performance metrics, security measures
- Business information: pricing, customer lists, financial data, business strategies, marketing plans, product roadmaps
- User Content and AI Outputs to the extent they contain proprietary or sensitive information
- Any information marked “Confidential”, “Proprietary”, or similar designation
- Information that would reasonably be understood to be confidential given its nature and context of disclosure
The Receiving Party agrees to:
- Maintain confidentiality using at least the same degree of care used to protect its own confidential information (but no less than reasonable care)
- Use Confidential Information solely for purposes of these Terms
- Limit disclosure to employees, contractors, and advisors with a need to know and who are bound by confidentiality obligations
- Promptly notify the Disclosing Party of any unauthorized disclosure or use
Confidentiality obligations do not apply to information that:
- Is or becomes publicly available through no breach by the Receiving Party
- Was rightfully known to the Receiving Party prior to disclosure
- Is independently developed by the Receiving Party without use of Confidential Information
- Is disclosed with the Disclosing Party’s prior written approval
- Must be disclosed pursuant to law, court order, or government regulation (with prior notice to Disclosing Party where permitted)
Confidentiality obligations survive termination of these Terms for a period of 5 years, except for trade secrets, which remain confidential for as long as they qualify as trade secrets under applicable law.
We reserve the right to modify, amend, or update these Terms at any time at our sole discretion. Changes may be necessary to:
- Reflect new features, services, or technologies
- Address legal, regulatory, or compliance requirements
- Improve clarity, accuracy, or enforceability
- Respond to security threats or operational needs
When we make material changes to these Terms:
- We will update the “Last Updated” date at the top of this document
- We will provide notice via email to the address associated with your account
- We may display a prominent notice on our Platform or require your affirmative acceptance upon login
- For significant changes affecting your rights or obligations, we will provide at least 30 days’ notice
Your continued use of the Services after the effective date of changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must discontinue use of the Services and may cancel your subscription in accordance with Section 12.2.
For enterprise customers with executed MSAs or SOWs, amendments require mutual written agreement unless otherwise specified in the enterprise agreement.
These Terms, together with our Privacy Policy, Acceptable Use Policy, and any Order Forms, MSAs, or SOWs executed between the parties, constitute the entire agreement between you and Echovium regarding the Services and supersede all prior or contemporaneous understandings, agreements, representations, or communications, whether written or oral.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.
The failure of Echovium to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Echovium. No waiver of any breach shall be deemed a waiver of any subsequent breach.
You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets, with notice to you. Any attempted assignment in violation of this provision is void.
Nothing in these Terms creates a partnership, joint venture, agency, employment, or fiduciary relationship between you and Echovium. You have no authority to bind Echovium or make commitments on our behalf.
Neither party shall be liable for failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government actions, epidemics, pandemics, labor disputes, internet or telecommunications failures, third-party infrastructure outages, or cyberattacks, provided that the affected party:
- Promptly notifies the other party of the force majeure event
- Uses reasonable efforts to mitigate the impact and resume performance
- Resumes performance as soon as reasonably practicable
If a force majeure event continues for more than 60 days, either party may terminate the affected Services with written notice.
You agree to comply with all applicable export control and sanctions laws, including those of India, the United States, the European Union, and the United Nations. You represent that you are not located in, under the control of, or a national or resident of any restricted country, and are not listed on any prohibited party list. You will not use the Services for any prohibited end use, including development of weapons of mass destruction, missile technology, or military applications in embargoed countries.
If you are a government entity or using the Services on behalf of a government, additional terms and restrictions may apply. The Services constitute “commercial computer software” and “commercial computer software documentation” as defined in applicable government procurement regulations. Government users acquire only the rights granted in these Terms.
These Terms are drafted in English. Any translations provided are for convenience only. In the event of any conflict between the English version and a translation, the English version shall prevail.
All notices, requests, consents, claims, demands, waivers, and other communications required or permitted under these Terms must be in writing and addressed to:

Notices are deemed delivered:
- Upon receipt if delivered by email (with read receipt or non-bounce confirmation)
- Upon personal delivery if hand-delivered with acknowledgment
- 5 business days after mailing if sent by registered post
Provisions that by their nature should survive termination shall survive, including but not limited to: intellectual property rights, payment obligations, disclaimers, limitation of liability, indemnification, confidentiality, dispute resolution, and governing law.
16. Governing Law and Dispute Resolution
These Terms and any disputes arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of India, including:
- The Indian Contract Act, 1872[3]
- The Information Technology Act, 2000[1]
- The Digital Personal Data Protection Act, 2023[2]
- The Copyright Act, 1957
- The Arbitration and Conciliation Act, 1996 (for arbitration proceedings)
without regard to conflict of law principles that would require application of the laws of another jurisdiction.
Subject to Section 16.3 (Arbitration), any legal action, suit, or proceeding arising out of or related to these Terms or the Services shall be instituted exclusively in the courts located in:
- Jorhat, Assam, India, OR
- Sindhudurg, Maharashtra, India
Or any other judicial court under Indian legal system as per convenience of Echovium Intelligence and Technology Private Limited at its sole discretion.
as determined by Echovium at its sole and absolute discretion.
By agreeing to these Terms, you:
- Irrevocably consent and submit to the exclusive jurisdiction of such courts
- Waive any objection to venue, inconvenient forum, or lack of personal jurisdiction
- Agree not to commence any action in any other jurisdiction or forum
- Consent to service of process by email or registered mail
For disputes involving amounts less than INR 10,00,000 (Ten Lakh Rupees) or USD 12,000, either party may elect binding arbitration as an alternative to litigation. If arbitration is elected:
- Arbitration shall be conducted in accordance with the Arbitration and Conciliation Act, 1996
- The seat of arbitration shall be Gurgaon, Haryana, India
- The arbitration shall be conducted by a sole arbitrator mutually agreed upon by the parties, or failing agreement within 30 days, appointed by the Chairman of the Gurgaon Bar Association
- The language of arbitration shall be English
- The arbitrator’s decision shall be final, binding, and enforceable in any court of competent jurisdiction
- Each party shall bear its own costs and share the arbitrator’s fees equally unless the arbitrator determines otherwise
16.4 Pre-Litigation Resolution
Before initiating any legal action or arbitration, you agree to first attempt to resolve the dispute informally by:
- Sending a detailed written description of the dispute to grievance@echovium.com
- Engaging in good faith negotiations for at least 30 days
- Considering mediation with a neutral third-party mediator if negotiations fail
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS, WHETHER IN COURT OR ARBITRATION, WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You expressly waive the right to participate in class actions, class arbitrations, or representative proceedings.
Notwithstanding the foregoing, either party may seek interim or preliminary injunctive relief from any court of competent jurisdiction to:
- Protect intellectual property rights
- Prevent irreparable harm
- Preserve confidential information
- Enforce restrictive covenants
without first engaging in informal dispute resolution or arbitration.

- You accept the risks associated with AI-generated content and agree to verify accuracy before reliance
- If entering into these Terms on behalf of an organization, you represent that you have authority to bind such organization
